Updone, Inc. (“Updone,” “we,” “us,” or “our”) respects your privacy. This Privacy Policy explains how Updone collects, uses, discloses, retains, and protects personal information when you visit or use Updone.com and the related online marketplace, account, communications, booking, payment, and support services we provide (collectively, the “Platform”).

The Platform connects Clients seeking Services with Talent offering Services. “Client” means an individual or business seeking, booking, or receiving Services through the Platform. “Talent” means an independent service provider or independent business offering Services through the Platform.

This Privacy Policy should be read together with the Updone Terms of Use. Capitalized terms not defined in this Privacy Policy have the meanings provided in the Terms of Use.

This Privacy Policy describes our privacy practices. It does not create an employment relationship between Updone and Talent, and nothing in this Privacy Policy changes the independent marketplace relationship described in the Terms of Use.

1. SCOPE OF THIS PRIVACY POLICY

This Privacy Policy applies to personal information Updone collects or processes through:

  • the Updone website and related applications or online services;
  • Client and Talent accounts;
  • Service Requests, offers, Bookings, and Service Agreements;
  • communications through the Platform;
  • email, SMS, WhatsApp, or other communications with Updone where used;
  • customer-support interactions;
  • payment and payout administration;
  • identity, credential, license, insurance, or background verification where applicable;
  • fraud-prevention, trust, safety, and security activities;
  • cookies, analytics, advertising, and similar technologies; and
  • other interactions with Updone relating to the Platform.

This Privacy Policy does not govern the independent privacy practices of Clients, Talent, payment providers, social networks, financial institutions, verification providers, or other third parties.

Clients and Talent may receive personal information about one another when reasonably necessary to evaluate, arrange, perform, administer, or resolve issues concerning Services. Once information has been provided to another Client or Talent, that person may independently process the information and is responsible for complying with applicable law.

This Privacy Policy is intended for marketplace Clients and Talent. Individuals who apply directly for corporate employment with Updone, if any, may be subject to a separate applicant or employee privacy notice.

2. NOTICE AT COLLECTION

Depending on how you use Updone, we may collect the following categories of personal information:

  • identifiers and contact information;
  • account and authentication information;
  • Client Service Request and Booking information;
  • Talent profile, skills, experience, rates, qualifications, certifications, licensing, insurance, and availability information;
  • communications between Clients, Talent, and Updone;
  • transaction and payment-related information;
  • identity and verification information;
  • background or credential-verification information where applicable;
  • ratings, reviews, profile content, and other User Content;
  • internet, device, cookie, analytics, advertising, and Platform-usage information;
  • general or precise location information where applicable and permitted;
  • marketing and communications preferences; and
  • other information you voluntarily provide to Updone.

We use these categories of information primarily to operate the Platform, connect Clients and Talent, administer Bookings and payments, maintain Platform security, verify accounts and credentials, prevent fraud and abuse, provide customer support, communicate with Clients and Talent, improve and market the Platform, comply with law, and protect Updone and others.

We may disclose personal information to Clients or Talent as necessary for marketplace transactions and to payment providers, verification providers, technology providers, communications providers, analytics and advertising providers, professional advisers, government authorities, and other parties described in this Privacy Policy.

We retain personal information only for as long as reasonably necessary for the purposes described in this Privacy Policy, including transaction, tax, fraud-prevention, safety, security, dispute, account-enforcement, and legal-recordkeeping requirements.

3. INFORMATION CLIENTS PROVIDE

When a Client uses the Platform, we may collect information such as:

  • name and business name, where applicable;
  • email address and telephone number;
  • billing or contact address;
  • Service Request descriptions and requirements;
  • requested date, time, duration, location, scope, or specifications for Services;
  • requested number or type of Talent, where applicable;
  • instructions and preferences;
  • proposed budget, price, or rate;
  • communications with Talent;
  • Booking and Service Agreement information;
  • payment and transaction information;
  • additional-service or change requests;
  • tips or gratuities where offered through the Platform;
  • ratings and reviews;
  • photographs, files, or other information submitted regarding Services;
  • customer-support communications; and
  • information relating to cancellations, disputes, refunds, chargebacks, complaints, or safety concerns.

Clients should not provide sensitive personal information that is not reasonably necessary for a Service Request, Booking, Service Agreement, payment, or support matter.

If a Client provides personal information concerning another person, such as a business contact, property contact, authorized representative, or other person connected to the requested Services, the Client is responsible for having an appropriate basis to provide that information to Updone.

4. INFORMATION TALENT PROVIDE

When Talent creates or maintains a profile or otherwise uses the Platform, Updone may collect information such as:

  • legal name;
  • display name or business name;
  • email address and telephone number;
  • mailing or contact address;
  • profile photograph;
  • general service area or geographic availability;
  • availability;
  • Services offered;
  • proposed or accepted rates;
  • skills and experience;
  • qualifications;
  • professional licenses, permits, certifications, or registrations;
  • insurance information where applicable;
  • professional profile information;
  • portfolio photographs, files, or other materials;
  • references;
  • ratings and reviews;
  • offers submitted;
  • accepted Bookings and Platform transaction history;
  • communications with Clients;
  • payout information;
  • tax information where legally required;
  • identity-verification information;
  • customer-support communications; and
  • information relating to cancellations, disputes, complaints, safety incidents, fraud, abuse, or Platform enforcement.

Updone collects this information to operate a marketplace through which Talent independently offer Services to Clients.

The collection or processing of Talent information through the Platform does not make Talent an employee of Updone.

5. PUBLIC TALENT PROFILES

Certain information that Talent elect or are required to include in their marketplace profiles may be displayed publicly or to prospective Clients.

Depending on Platform functionality, public or marketplace-visible Talent information may include:

  • Talent’s first name, display name, or business name;
  • profile photograph;
  • general location or service area;
  • Services offered;
  • skills and experience;
  • qualifications, certifications, or credentials;
  • rates or pricing information;
  • ratings and reviews;
  • number of completed Platform transactions or similar marketplace activity indicators;
  • portfolio information; and
  • other marketplace profile information selected or required for display.

Public Talent profile pages may be accessible without logging into Updone and may be indexed, cached, archived, or displayed by search engines and other internet services.

Talent should not place private information in public profile fields that they do not want publicly available. Information removed from Updone may continue to appear temporarily in search-engine caches, archives, or third-party systems that Updone does not control.

6. ACCOUNT AND AUTHENTICATION INFORMATION

To create, authenticate, secure, and maintain an account, Updone may collect:

  • name;
  • email address;
  • telephone number;
  • password or authentication credentials;
  • account identifier;
  • account type;
  • login and security history; and
  • other information used to protect the account.

Passwords should be maintained using appropriate technical protections and should not be stored as readable plain-text passwords.

Clients and Talent are responsible for safeguarding their account credentials and should notify Updone promptly if they suspect unauthorized account access.

7. GOOGLE AND OTHER THIRD-PARTY SIGN-IN

Updone may allow Clients or Talent to create or access an account using a third-party authentication provider, including Google.

If you choose a third-party sign-in service, that provider may provide Updone with information authorized through the authentication process, such as:

  • your name;
  • email address;
  • profile photograph;
  • unique account identifier; and
  • other information you authorize the provider to disclose.

Updone uses this information to authenticate you, create or connect your Updone account, prevent fraud, and operate the Platform. The third-party authentication provider independently processes information under its own terms and privacy policy.

8. IDENTITY AND ACCOUNT VERIFICATION

Updone may collect or process information reasonably necessary to confirm identity, administer payments, prevent fraud and abuse, maintain marketplace safety, comply with tax requirements, or satisfy other legal obligations.

Depending on the circumstances, this may include:

  • legal name;
  • date of birth;
  • photograph;
  • government-issued identification;
  • driver’s license or similar identification information;
  • identity-verification results;
  • taxpayer identification information;
  • Social Security number where legally required for payment, tax reporting, identity verification, or another lawful purpose; and
  • other verification information.

Where practical, sensitive verification information may be collected or stored directly by a specialized verification or payment provider rather than by Updone.

Updone does not collect Form I-9 or E-Verify information from Talent for the purpose of treating Talent as employees of Updone.

9. BACKGROUND, CREDENTIAL, LICENSE, AND INSURANCE VERIFICATION

Updone may conduct, obtain, or facilitate identity, credential, license, certification, insurance, or background verification where applicable and permitted by law.

Information associated with these processes may include:

  • identity-verification results;
  • professional-license or registration information;
  • certification information;
  • insurance information;
  • public-record information;
  • criminal-history information where legally permitted;
  • verification status; and
  • other information reasonably relevant to marketplace trust and safety.

Updone may use specialized third parties to conduct verification. Where a separate disclosure, authorization, consent, or adverse-action procedure is required by law, that process will be handled separately from this Privacy Policy.

A verification result, badge, designation, or approval is not a guarantee that a Client or Talent is safe, suitable, qualified, insured, licensed for every circumstance, or appropriate for any particular Service Request or Booking.

10. INFORMATION UPDONE DOES NOT ORDINARILY REQUIRE FROM TALENT

As part of ordinary Talent marketplace participation, Updone does not generally require information maintained by an employer for employment administration, such as:

  • Form I-9 employment-verification information;
  • E-Verify information;
  • employee disciplinary records;
  • employee medical records;
  • employee disability information;
  • union-membership information;
  • veteran-status information;
  • race or ethnicity for equal-employment reporting;
  • political or ideological beliefs; or
  • drug-testing information.

If Updone has a separate lawful reason to collect information outside its ordinary marketplace activities, Updone will provide additional notice or obtain consent where required.

Individuals applying directly for corporate employment with Updone, if any, may be subject to a separate applicant or employee privacy notice.

11. PAYMENT, PAYOUT, AND FINANCIAL INFORMATION

Updone uses third-party payment services to facilitate Client payments and Talent payouts.

Payment-related information may include:

  • payment-card information;
  • billing information;
  • bank-account or payout-account information;
  • payment or payout identifiers used by supported payment methods;
  • transaction amount;
  • authorization status;
  • tips or gratuities;
  • refund information;
  • chargebacks;
  • payment reversals;
  • payout status; and
  • transaction identifiers.

A Payment Service Provider, such as Stripe or another provider used by Updone, may collect financial credentials directly.

Updone may receive limited information necessary to administer transactions, such as:

  • payment status;
  • transaction identifiers;
  • payment method;
  • limited or masked card or account information;
  • payout status;
  • fraud or risk information;
  • chargeback information; and
  • related transaction information.

Payment providers process information according to their own terms, privacy policies, security procedures, and legal obligations.

12. INFORMATION SHARED BETWEEN CLIENTS AND TALENT

The purpose of the Platform is to allow Clients and Talent to find, evaluate, communicate with, and contract with each other.

Before a Booking, Updone may make information available that helps Clients and Talent evaluate a potential transaction.

A Client may receive information concerning Talent such as profile information, service area, experience, skills, pricing, availability, ratings, reviews, qualifications, certifications, and other profile information.

Talent may receive information concerning a Client’s Service Request such as requested Services, date or schedule, general or specific location where appropriate, expected duration or scope, proposed budget, requirements, and Client communications.

After a Booking, Updone may disclose additional information reasonably necessary to coordinate and perform the Services, including:

  • telephone numbers;
  • email addresses;
  • service location or address;
  • access or coordination instructions;
  • authorized contacts;
  • Booking information; and
  • other information reasonably necessary for the Client–Talent Service Agreement.

Clients and Talent may use information received through Updone only for legitimate purposes connected to the Platform, a Service Request, Booking, Service Agreement, safety, dispute resolution, or another lawful purpose.

Clients and Talent may not use information obtained through the Platform for harassment, identity theft, unrelated solicitation, unauthorized sale of information, discrimination, stalking, retaliation, or another unlawful purpose.

13. COMMUNICATIONS

Updone may collect and retain communications:

  • between Clients and Talent through the Platform;
  • between you and Updone;
  • through customer support;
  • through email;
  • through SMS;
  • through WhatsApp where used; or
  • through other communication services used to administer the Platform.

Updone may access, review, or use Platform communications where reasonably necessary to:

  • operate the Platform;
  • facilitate a Service Request, Booking, or Service Agreement;
  • provide customer support;
  • investigate a complaint, dispute, or chargeback;
  • investigate fraud, abuse, harassment, or circumvention;
  • resolve payment or payout issues;
  • investigate safety or security incidents;
  • enforce the Terms of Use;
  • protect Clients, Talent, Updone, or others;
  • improve the Platform; or
  • comply with law.

Clients and Talent should not place unnecessary highly sensitive information in Platform communications.

14. SMS, WHATSAPP, AND MOBILE COMMUNICATIONS

Providing a telephone number for account or transactional purposes does not by itself constitute consent to receive marketing text messages where separate consent is legally required.

Updone may send non-marketing communications reasonably related to:

  • account authentication;
  • account security;
  • Service Requests;
  • offers;
  • Bookings;
  • schedule or scope changes;
  • reminders;
  • payments;
  • payouts;
  • customer support;
  • disputes; and
  • other existing Platform transactions.

Where applicable law requires separate consent for marketing or promotional SMS, automated text, or WhatsApp communications, Updone will request that consent separately.

Consent to receive marketing messages is not a condition of purchasing or using Updone services where prohibited by law.

Recipients may opt out of applicable SMS marketing messages by replying STOP. Recipients may request help by replying HELP or contacting Updone. Message and data rates may apply.

Mobile telephone information, text-message opt-in information, and messaging consent records will not be sold or disclosed to third parties for those third parties’ own marketing or promotional purposes.

Updone may disclose mobile information to communications vendors as reasonably necessary to send messages and administer the messaging program.

15. INFORMATION COLLECTED AUTOMATICALLY

When you access or use the Platform, Updone and its service providers may automatically collect information such as:

  • Internet Protocol address;
  • browser type;
  • device type;
  • operating system;
  • language;
  • device identifiers;
  • general geographic location;
  • referring page or website;
  • pages visited;
  • links or buttons selected;
  • date and time of access;
  • session duration;
  • Platform interactions;
  • conversion information;
  • advertising or analytics identifiers;
  • diagnostic and error information; and
  • other technical or usage information.

This information may be collected through cookies, pixels, tags, APIs, software development kits, log files, and similar technologies.

16. COOKIES, GOOGLE TAG MANAGER, ANALYTICS, AND ADVERTISING TECHNOLOGIES

Updone uses cookies and similar technologies for purposes that may include:

  • account authentication;
  • security and fraud prevention;
  • remembering preferences;
  • maintaining sessions;
  • measuring Platform usage;
  • diagnosing errors;
  • analyzing Platform performance;
  • measuring advertising and conversions;
  • understanding marketing effectiveness; and
  • improving the Platform.

Updone uses Google Tag Manager and may use Google and other third-party analytics, advertising, or measurement technologies through or alongside it.

These technologies may collect or receive information such as:

  • IP address;
  • browser and device information;
  • cookie or advertising identifiers;
  • pages viewed;
  • links or buttons selected;
  • referral information;
  • conversion activity; and
  • information regarding interactions with the Platform or advertisements.

Third-party analytics or advertising providers may use information collected through their technologies according to their own privacy policies.

Depending on the technology and applicable law, certain third parties may collect information regarding your activity on Updone and other websites or services over time.

17. YOUR PRIVACY CHOICES FOR COOKIES AND ADVERTISING

You may be able to control cookies through your browser settings. Blocking certain cookies may affect Platform functionality.

Where Updone provides a Your Privacy Choices or similar control, you may use it to manage non-essential analytics or advertising technologies.

Updone does not sell personal information to data brokers or other third parties in exchange for monetary payment.

However, certain disclosures involving online advertising, analytics, or measurement providers may constitute a “sale,” “sharing,” or processing for “targeted advertising” under broadly defined state privacy laws even when no money is exchanged for the personal information.

Where applicable law provides an opt-out right, Updone will provide a method to exercise that right.

18. DO NOT TRACK AND GLOBAL PRIVACY CONTROL

Some browsers offer a “Do Not Track” or “DNT” setting. Because there is no universally accepted technical standard for DNT signals, Updone does not currently respond to general browser DNT signals.

DNT is different from legally recognized opt-out preference signals such as Global Privacy Control (“GPC”).

Where applicable law requires Updone to recognize a valid opt-out preference signal, Updone will process a recognized GPC or comparable signal as required by law.

Any GPC preference ordinarily applies to the browser or device through which the signal is sent unless applicable technology and law permit it to be associated with an authenticated account.

19. LOCATION INFORMATION

Updone may collect:

  • service locations;
  • Talent service areas;
  • city or ZIP-code information;
  • general location inferred from an IP address; and
  • other location information voluntarily provided through the Platform.

If Updone offers functionality requiring precise device location, such information will be collected subject to applicable permissions and legal requirements.

You may control device-level location permissions through your browser or device settings.

20. REVIEWS, RATINGS, AND USER CONTENT

Updone may collect reviews, ratings, profile photographs, portfolio materials, photographs, files, messages, and other content submitted through the Platform.

Reviews and ratings may be displayed to Clients or Talent and may be displayed publicly where appropriate.

Updone may use User Content consistent with the Terms of Use to operate, secure, improve, and promote the Platform.

Clients and Talent should not submit content unless they have the right to provide it.

21. HOW UPDONE USES PERSONAL INFORMATION

Updone may use personal information to:

  • operate and maintain the Platform;
  • establish, authenticate, and secure accounts;
  • connect Clients and Talent;
  • publish and administer Service Requests;
  • display Talent profiles;
  • facilitate offers and Bookings;
  • facilitate Client–Talent communications;
  • administer Service Agreements;
  • process Client payments;
  • administer Talent payouts;
  • facilitate tips, refunds, and adjustments;
  • investigate chargebacks and payment disputes;
  • verify identity and credentials;
  • conduct legally permitted screening;
  • prevent fraud, abuse, circumvention, and unauthorized activity;
  • maintain safety and security;
  • enforce Platform policies and account restrictions;
  • investigate complaints or misconduct;
  • provide customer support;
  • improve and develop the Platform;
  • measure Platform and marketing performance;
  • personalize Platform functionality;
  • send transactional communications;
  • send marketing communications where legally permitted;
  • maintain records;
  • comply with tax, regulatory, court, and other legal requirements;
  • protect legal rights; and
  • establish, exercise, or defend legal claims.

Updone may also create aggregated or de-identified information that cannot reasonably identify a particular person and may use that information for lawful business purposes.

22. HOW UPDONE DISCLOSES PERSONAL INFORMATION

Clients and Talent

As described above, Updone shares information between Clients and Talent where reasonably necessary to evaluate, book, coordinate, perform, review, or resolve issues concerning Services.

Payment and Financial Service Providers

Updone may disclose information to payment processors, banks, payment networks, fraud-prevention services, and related financial providers.

Verification and Screening Providers

Updone may disclose information to identity, license, credential, certification, insurance, or legally permitted background-verification providers.

Technology and Business Service Providers

Updone may use providers that support:

  • cloud hosting;
  • website and application operation;
  • databases;
  • account authentication;
  • cybersecurity;
  • email;
  • SMS or WhatsApp communications;
  • customer support;
  • analytics;
  • advertising;
  • fraud prevention;
  • accounting;
  • tax reporting;
  • legal and compliance services; and
  • other Platform operations.

Analytics and Advertising Providers

Updone may disclose online identifiers, device information, Platform activity, conversion information, or similar information to analytics and advertising providers for analytics, measurement, marketing, or advertising purposes.

Professional Advisers

Information may be provided to attorneys, accountants, auditors, insurers, consultants, and similar professional advisers where reasonably necessary.

Legal, Regulatory, and Safety Purposes

Updone may disclose information where reasonably necessary to:

  • comply with applicable law;
  • respond to subpoenas, warrants, court orders, or other lawful process;
  • respond to authorized government requests;
  • investigate fraud, abuse, or illegal activity;
  • protect the safety of Clients, Talent, Updone, or others;
  • enforce contracts, account restrictions, and Platform policies; or
  • establish, exercise, or defend legal claims.

Business Transactions

Personal information may be disclosed in connection with a proposed or completed merger, acquisition, financing, investment, reorganization, asset sale, bankruptcy, or similar transaction.

At Your Direction or With Consent

Updone may disclose information where you direct us to do so or provide legally valid consent.

23. SALE, SHARING, AND TARGETED ADVERTISING

Updone does not sell personal information to third parties for monetary consideration.

As described in this Privacy Policy, Updone may use analytics, advertising, and measurement technologies that disclose online identifiers, device information, and internet or Platform activity to third parties.

Depending on applicable state law, some of those activities may be classified as:

  • selling personal information;
  • sharing personal information for cross-context behavioral advertising; or
  • processing personal information for targeted advertising.

Where applicable law gives you the right to opt out, Updone will provide a mechanism to exercise the applicable right.

24. SENSITIVE PERSONAL INFORMATION

Updone may process information considered sensitive under applicable privacy laws where reasonably necessary to operate the Platform.

This may include:

  • government-issued identification;
  • Social Security or taxpayer identification information where legally required;
  • financial or payout-account information;
  • account login credentials;
  • precise geolocation if a feature requires it and you authorize it; and
  • legally permitted background-verification information.

Updone processes sensitive personal information for purposes such as identity verification, payment administration, tax compliance, security, fraud prevention, safety, credential verification, and legal compliance.

Updone does not use sensitive personal information for the purpose of inferring unrelated characteristics about Clients or Talent for behavioral advertising.

25. ACCOUNT SUSPENSION, DEACTIVATION, TERMINATION, AND RETENTION

Updone may restrict, suspend, deactivate, or terminate Client or Talent accounts as provided in the Terms of Use.

Account restriction, suspension, deactivation, or termination does not automatically result in immediate deletion of the personal information associated with the account.

Updone may retain information associated with a restricted, suspended, deactivated, or terminated account for as long as reasonably necessary to:

  • complete, administer, document, or reconcile payments and payouts;
  • maintain transaction, accounting, or tax records;
  • prevent fraud, abuse, circumvention, harassment, or repeat account creation;
  • investigate complaints, disputes, chargebacks, or safety matters;
  • enforce the Terms of Use or other Platform policies;
  • protect Platform security and marketplace integrity;
  • respond to legal process or regulatory obligations;
  • comply with record-retention requirements; or
  • establish, exercise, or defend legal claims.

Updone may also retain identifiers or other limited information reasonably necessary to prevent a person whose account has been restricted or terminated from evading an account restriction by creating another account, to the extent permitted by applicable law.

26. DATA RETENTION

Updone retains personal information for no longer than reasonably necessary for the purposes for which it was collected or another lawful compatible purpose.

Relevant factors may include:

  • whether an account is active;
  • the type and sensitivity of the information;
  • the existence of completed or pending Service Requests, Bookings, or Service Agreements;
  • payment and payout records;
  • tax and accounting requirements;
  • fraud and abuse-prevention needs;
  • safety or security incidents;
  • chargebacks and payment disputes;
  • complaints and Platform-enforcement history;
  • litigation or anticipated claims;
  • applicable statutes of limitation;
  • regulatory requirements; and
  • legitimate business-record requirements.

Deleting or closing an account does not necessarily result in immediate deletion of all information.

When information is no longer reasonably necessary, Updone may delete, destroy, aggregate, or de-identify it consistent with applicable law.

27. SECURITY

Updone uses reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, acquisition, disclosure, alteration, destruction, or misuse.

Depending on the information and systems involved, safeguards may include:

  • access controls;
  • authentication controls;
  • security monitoring;
  • vendor-management procedures;
  • system and network protections;
  • secure configurations;
  • incident-response procedures;
  • backup procedures;
  • employee or contractor access restrictions; and
  • secure disposal practices.

No website, database, communications platform, payment network, or electronic storage system can be guaranteed to be completely secure. Updone therefore cannot guarantee absolute security.

Clients and Talent should use strong account credentials and promptly notify Updone of suspected unauthorized account access.

28. PRIVACY RIGHTS AND REQUESTS

Depending on your residence and applicable law, you may have rights concerning personal information maintained by Updone.

These rights may include:

  • accessing personal information;
  • obtaining information about categories of information collected;
  • obtaining information about sources and purposes;
  • obtaining information about categories of recipients;
  • requesting correction;
  • requesting deletion;
  • requesting a portable copy;
  • opting out of sale or sharing;
  • opting out of targeted advertising;
  • limiting certain uses of sensitive information;
  • withdrawing consent where applicable;
  • appealing certain privacy-request decisions where state law provides an appeal right; and
  • receiving non-discriminatory treatment for exercising privacy rights.

Legal exceptions may apply. Updone may need to verify your identity before processing certain requests.

Updone will respond within the timeframe required by applicable law. Authorized agents may submit requests where permitted by law, subject to verification requirements.

29. ACCOUNT ACCESS, CORRECTION, AND DELETION

Clients and Talent are responsible for maintaining accurate account information.

Where Platform functionality allows, information may be reviewed or updated directly through account settings.

You may also contact Updone to request correction or deletion.

A deletion request may result in loss of access to profile information, Booking history, messages, transaction functionality, or other Platform features.

Updone may retain information after a deletion request where permitted or required by law, including information needed for transactions, tax records, chargebacks, fraud prevention, abuse prevention, account-enforcement history, safety matters, disputes, security, or legal claims.

30. CALIFORNIA ONLINE PRIVACY DISCLOSURES

California’s Online Privacy Protection Act and other California laws require certain online privacy disclosures.

Updone collects the categories of personal information described in this Privacy Policy and may disclose that information to the categories of recipients described above.

Clients and Talent may request review, correction, or deletion of applicable account information as described in this Privacy Policy.

If Updone materially changes this Privacy Policy, Updone may notify affected Clients and Talent through email, account notice, a conspicuous Platform notice, or another reasonable method.

The effective date and last-updated date appear at the beginning of this Privacy Policy.

As described above, Updone does not currently respond to general browser Do Not Track signals.

Analytics and advertising providers may collect certain information concerning Platform activity and, depending on the provider and technology, may collect information regarding online activity over time and across websites or services.

31. CALIFORNIA CONSUMER PRIVACY RIGHTS

To the extent the California Consumer Privacy Act or another California privacy law applies to Updone and to your personal information, California residents may have rights including:

  • the right to know;
  • the right to access specific pieces of personal information;
  • the right to delete;
  • the right to correct;
  • the right to data portability;
  • the right to opt out of the sale or sharing of personal information;
  • the right to limit certain uses and disclosures of sensitive personal information where applicable; and
  • the right not to receive unlawful discriminatory treatment for exercising privacy rights.

Updone does not sell personal information for monetary consideration.

Where advertising or analytics activities constitute “sale” or “sharing” under California law, eligible California residents may exercise applicable opt-out rights through the privacy-choice mechanism made available by Updone or through a legally recognized opt-out preference signal such as Global Privacy Control where applicable.

  • professional or business information;

  • Platform communications;

Sources may include Clients, Talent, Platform activity, payment providers, identity or verification providers, background or credential-verification providers, analytics and advertising providers, communications providers, fraud-prevention providers, public records, and other service providers or lawful sources.

33. CALIFORNIA DIRECT-MARKETING DISCLOSURE

California residents may have rights under California’s “Shine the Light” law regarding certain disclosures for third parties’ own direct-marketing purposes.

Updone does not disclose personal information to unaffiliated third parties for those third parties’ own direct-marketing purposes except where permitted by applicable law or pursuant to legally valid consent.

34. OTHER U.S. STATE PRIVACY RIGHTS

Residents of certain U.S. states may have additional privacy rights.

Depending on the jurisdiction, rights may include access, correction, deletion, portability, opt-out of targeted advertising, opt-out of sale, opt-out of certain profiling, and appeal of certain privacy decisions.

Nothing in this Privacy Policy limits a privacy right that applicable law does not permit Updone to limit.

35. MARKETING EMAIL

Clients and Talent may opt out of promotional email by using an unsubscribe mechanism contained in the applicable communication.

An opt-out from marketing does not prevent Updone from sending non-promotional communications reasonably necessary for account administration, security, Service Requests, Bookings, payments, payouts, disputes, customer support, legal notices, or changes to agreements or policies.

36. CHILDREN

The Platform is intended for individuals who are at least eighteen (18) years old.

Updone does not knowingly permit individuals under eighteen to create Client or Talent accounts.

If Updone learns that an underage individual improperly created an account or provided personal information, Updone may restrict the account and delete information as appropriate, subject to legal retention obligations.

37. THIRD-PARTY SITES AND SERVICES

The Platform may link to or interact with third-party services.

Those services may independently collect or process personal information under their own terms and privacy policies.

Clients and Talent should review applicable third-party privacy policies before providing information directly to those services.

38. BUSINESS TRANSFERS

If Updone undergoes or considers a merger, acquisition, sale, financing, reorganization, bankruptcy, sale of assets, or similar corporate transaction, personal information may be transferred or disclosed as part of that transaction, subject to applicable legal requirements.

39. DATA PROCESSING IN THE UNITED STATES

Updone operates in the United States.

Personal information may be stored or processed in the United States or other locations in which Updone’s service providers operate.

If you access the Platform from outside the United States, your information may be transferred to a jurisdiction with privacy laws different from those of your country, subject to applicable law.

Updone, Inc. (“Updone,” “we,” “us,” or “our”) respects your privacy. This Privacy Policy explains how Updone collects, uses, discloses, retains, and protects personal information when you visit or use Updone.com and the related online marketplace, account, communications, booking, payment, and support services we provide (collectively, the “Platform”).

The Platform connects Clients seeking Services with Talent offering Services. “Client” means an individual or business seeking, booking, or receiving Services through the Platform. “Talent” means an independent service provider or independent business offering Services through the Platform.

This Privacy Policy should be read together with the Updone Terms of Use. Capitalized terms not defined in this Privacy Policy have the meanings provided in the Terms of Use.

This Privacy Policy describes our privacy practices. It does not create an employment relationship between Updone and Talent, and nothing in this Privacy Policy changes the independent marketplace relationship described in the Terms of Use.

1. SCOPE OF THIS PRIVACY POLICY

This Privacy Policy applies to personal information Updone collects or processes through:

  • the Updone website and related applications or online services;
  • Client and Talent accounts;
  • Service Requests, offers, Bookings, and Service Agreements;
  • communications through the Platform;
  • email, SMS, WhatsApp, or other communications with Updone where used;
  • customer-support interactions;
  • payment and payout administration;
  • identity, credential, license, insurance, or background verification where applicable;
  • fraud-prevention, trust, safety, and security activities;
  • cookies, analytics, advertising, and similar technologies; and
  • other interactions with Updone relating to the Platform.

This Privacy Policy does not govern the independent privacy practices of Clients, Talent, payment providers, social networks, financial institutions, verification providers, or other third parties.

Clients and Talent may receive personal information about one another when reasonably necessary to evaluate, arrange, perform, administer, or resolve issues concerning Services. Once information has been provided to another Client or Talent, that person may independently process the information and is responsible for complying with applicable law.

This Privacy Policy is intended for marketplace Clients and Talent. Individuals who apply directly for corporate employment with Updone, if any, may be subject to a separate applicant or employee privacy notice.

2. NOTICE AT COLLECTION

Depending on how you use Updone, we may collect the following categories of personal information:

  • identifiers and contact information;
  • account and authentication information;
  • Client Service Request and Booking information;
  • Talent profile, skills, experience, rates, qualifications, certifications, licensing, insurance, and availability information;
  • communications between Clients, Talent, and Updone;
  • transaction and payment-related information;
  • identity and verification information;
  • background or credential-verification information where applicable;
  • ratings, reviews, profile content, and other User Content;
  • internet, device, cookie, analytics, advertising, and Platform-usage information;
  • general or precise location information where applicable and permitted;

We use these categories of information primarily to operate the Platform, connect Clients and Talent, administer Bookings and payments, maintain Platform security, verify accounts and credentials, prevent fraud and abuse, provide customer support, communicate with Clients and Talent, improve and market the Platform, comply with law, and protect Updone and others.

We may disclose personal information to Clients or Talent as necessary for marketplace transactions and to payment providers, verification providers, technology providers, communications providers, analytics and advertising providers, professional advisers, government authorities, and other parties described in this Privacy Policy.

We retain personal information only for as long as reasonably necessary for the purposes described in this Privacy Policy, including transaction, tax, fraud-prevention, safety, security, dispute, account-enforcement, and legal-recordkeeping requirements.

3. INFORMATION CLIENTS PROVIDE

When a Client uses the Platform, we may collect information such as:

  • name and business name, where applicable;
  • email address and telephone number;
  • billing or contact address;
  • Service Request descriptions and requirements;
  • requested date, time, duration, location, scope, or specifications for Services;
  • requested number or type of Talent, where applicable;
  • instructions and preferences;
  • proposed budget, price, or rate;
  • communications with Talent;
  • Booking and Service Agreement information;
  • payment and transaction information;
  • additional-service or change requests;
  • tips or gratuities where offered through the Platform;
  • ratings and reviews;
  • photographs, files, or other information submitted regarding Services;
  • customer-support communications; and
  • information relating to cancellations, disputes, refunds, chargebacks, complaints, or safety concerns.

Clients should not provide sensitive personal information that is not reasonably necessary for a Service Request, Booking, Service Agreement, payment, or support matter.

If a Client provides personal information concerning another person, such as a business contact, property contact, authorized representative, or other person connected to the requested Services, the Client is responsible for having an appropriate basis to provide that information to Updone.

4. INFORMATION TALENT PROVIDE

When Talent creates or maintains a profile or otherwise uses the Platform, Updone may collect information such as:

  • legal name;
  • display name or business name;
  • email address and telephone number;
  • mailing or contact address;
  • profile photograph;
  • general service area or geographic availability;
  • availability;
  • Services offered;
  • proposed or accepted rates;
  • skills and experience;
  • qualifications;
  • professional licenses, permits, certifications, or registrations;
  • insurance information where applicable;
  • professional profile information;
  • portfolio photographs, files, or other materials;
  • references;
  • ratings and reviews;
  • offers submitted;
  • accepted Bookings and Platform transaction history;
  • communications with Clients;
  • payout information;
  • tax information where legally required;
  • identity-verification information;
  • customer-support communications; and
  • information relating to cancellations, disputes, complaints, safety incidents, fraud, abuse, or Platform enforcement.

Updone collects this information to operate a marketplace through which Talent independently offer Services to Clients.

The collection or processing of Talent information through the Platform does not make Talent an employee of Updone.

5. PUBLIC TALENT PROFILES

Certain information that Talent elect or are required to include in their marketplace profiles may be displayed publicly or to prospective Clients.

Depending on Platform functionality, public or marketplace-visible Talent information may include:

  • Talent’s first name, display name, or business name;
  • profile photograph;
  • general location or service area;
  • Services offered;
  • skills and experience;
  • qualifications, certifications, or credentials;
  • rates or pricing information;
  • ratings and reviews;
  • number of completed Platform transactions or similar marketplace activity indicators;
  • portfolio information; and
  • other marketplace profile information selected or required for display.

Public Talent profile pages may be accessible without logging into Updone and may be indexed, cached, archived, or displayed by search engines and other internet services.

Talent should not place private information in public profile fields that they do not want publicly available. Information removed from Updone may continue to appear temporarily in search-engine caches, archives, or third-party systems that Updone does not control.

6. ACCOUNT AND AUTHENTICATION INFORMATION

To create, authenticate, secure, and maintain an account, Updone may collect:

  • name;
  • email address;
  • telephone number;
  • password or authentication credentials;
  • account identifier;
  • account type;
  • login and security history; and
  • other information used to protect the account.

Passwords should be maintained using appropriate technical protections and should not be stored as readable plain-text passwords.

Clients and Talent are responsible for safeguarding their account credentials and should notify Updone promptly if they suspect unauthorized account access.

7. GOOGLE AND OTHER THIRD-PARTY SIGN-IN

Updone may allow Clients or Talent to create or access an account using a third-party authentication provider, including Google.

If you choose a third-party sign-in service, that provider may provide Updone with information authorized through the authentication process, such as:

  • your name;
  • email address;
  • profile photograph;
  • unique account identifier; and
  • other information you authorize the provider to disclose.

Updone uses this information to authenticate you, create or connect your Updone account, prevent fraud, and operate the Platform. The third-party authentication provider independently processes information under its own terms and privacy policy.

8. IDENTITY AND ACCOUNT VERIFICATION

Updone may collect or process information reasonably necessary to confirm identity, administer payments, prevent fraud and abuse, maintain marketplace safety, comply with tax requirements, or satisfy other legal obligations.

Depending on the circumstances, this may include:

  • legal name;
  • date of birth;
  • photograph;
  • government-issued identification;
  • driver’s license or similar identification information;
  • identity-verification results;
  • taxpayer identification information;
  • Social Security number where legally required for payment, tax reporting, identity verification, or another lawful purpose; and
  • other verification information.

Where practical, sensitive verification information may be collected or stored directly by a specialized verification or payment provider rather than by Updone.

Updone does not collect Form I-9 or E-Verify information from Talent for the purpose of treating Talent as employees of Updone.

9. BACKGROUND, CREDENTIAL, LICENSE, AND INSURANCE VERIFICATION

Updone may conduct, obtain, or facilitate identity, credential, license, certification, insurance, or background verification where applicable and permitted by law.

Information associated with these processes may include:

  • identity-verification results;
  • professional-license or registration information;
  • certification information;
  • insurance information;
  • public-record information;
  • criminal-history information where legally permitted;
  • verification status; and
  • other information reasonably relevant to marketplace trust and safety.

Updone may use specialized third parties to conduct verification. Where a separate disclosure, authorization, consent, or adverse-action procedure is required by law, that process will be handled separately from this Privacy Policy.

A verification result, badge, designation, or approval is not a guarantee that a Client or Talent is safe, suitable, qualified, insured, licensed for every circumstance, or appropriate for any particular Service Request or Booking.

10. INFORMATION UPDONE DOES NOT ORDINARILY REQUIRE FROM TALENT

As part of ordinary Talent marketplace participation, Updone does not generally require information maintained by an employer for employment administration, such as:

  • Form I-9 employment-verification information;
  • E-Verify information;
  • employee disciplinary records;
  • employee medical records;
  • employee disability information;
  • union-membership information;
  • veteran-status information;
  • race or ethnicity for equal-employment reporting;
  • political or ideological beliefs; or
  • drug-testing information.

If Updone has a separate lawful reason to collect information outside its ordinary marketplace activities, Updone will provide additional notice or obtain consent where required.

Individuals applying directly for corporate employment with Updone, if any, may be subject to a separate applicant or employee privacy notice.

11. PAYMENT, PAYOUT, AND FINANCIAL INFORMATION

Updone uses third-party payment services to facilitate Client payments and Talent payouts.

Payment-related information may include:

  • payment-card information;
  • billing information;
  • bank-account or payout-account information;
  • payment or payout identifiers used by supported payment methods;
  • transaction amount;
  • authorization status;
  • tips or gratuities;
  • refund information;
  • chargebacks;
  • payment reversals;
  • payout status; and
  • transaction identifiers.

A Payment Service Provider, such as Stripe or another provider used by Updone, may collect financial credentials directly.

Updone may receive limited information necessary to administer transactions, such as:

  • payment status;
  • transaction identifiers;
  • payment method;
  • limited or masked card or account information;
  • payout status;
  • fraud or risk information;
  • chargeback information; and
  • related transaction information.

Payment providers process information according to their own terms, privacy policies, security procedures, and legal obligations.

12. INFORMATION SHARED BETWEEN CLIENTS AND TALENT

The purpose of the Platform is to allow Clients and Talent to find, evaluate, communicate with, and contract with each other.

Before a Booking, Updone may make information available that helps Clients and Talent evaluate a potential transaction.

A Client may receive information concerning Talent such as profile information, service area, experience, skills, pricing, availability, ratings, reviews, qualifications, certifications, and other profile information.

Talent may receive information concerning a Client’s Service Request such as requested Services, date or schedule, general or specific location where appropriate, expected duration or scope, proposed budget, requirements, and Client communications.

After a Booking, Updone may disclose additional information reasonably necessary to coordinate and perform the Services, including:

  • telephone numbers;
  • email addresses;
  • service location or address;
  • access or coordination instructions;
  • authorized contacts;
  • Booking information; and
  • other information reasonably necessary for the Client–Talent Service Agreement.

Clients and Talent may use information received through Updone only for legitimate purposes connected to the Platform, a Service Request, Booking, Service Agreement, safety, dispute resolution, or another lawful purpose.

Clients and Talent may not use information obtained through the Platform for harassment, identity theft, unrelated solicitation, unauthorized sale of information, discrimination, stalking, retaliation, or another unlawful purpose.

13. COMMUNICATIONS

Updone may collect and retain communications:

  • between Clients and Talent through the Platform;
  • between you and Updone;
  • through customer support;
  • through email;
  • through SMS;
  • through WhatsApp where used; or
  • through other communication services used to administer the Platform.

Updone may access, review, or use Platform communications where reasonably necessary to:

  • operate the Platform;
  • facilitate a Service Request, Booking, or Service Agreement;
  • provide customer support;
  • investigate a complaint, dispute, or chargeback;
  • investigate fraud, abuse, harassment, or circumvention;
  • resolve payment or payout issues;
  • investigate safety or security incidents;
  • enforce the Terms of Use;
  • protect Clients, Talent, Updone, or others;
  • improve the Platform; or
  • comply with law.

Clients and Talent should not place unnecessary highly sensitive information in Platform communications.

14. SMS, WHATSAPP, AND MOBILE COMMUNICATIONS

Providing a telephone number for account or transactional purposes does not by itself constitute consent to receive marketing text messages where separate consent is legally required.

Updone may send non-marketing communications reasonably related to:

  • account authentication;
  • account security;
  • Service Requests;
  • offers;
  • Bookings;
  • schedule or scope changes;
  • reminders;
  • payments;
  • payouts;
  • customer support;
  • disputes; and
  • other existing Platform transactions.

Where applicable law requires separate consent for marketing or promotional SMS, automated text, or WhatsApp communications, Updone will request that consent separately.

Consent to receive marketing messages is not a condition of purchasing or using Updone services where prohibited by law.

Recipients may opt out of applicable SMS marketing messages by replying STOP. Recipients may request help by replying HELP or contacting Updone. Message and data rates may apply.

Mobile telephone information, text-message opt-in information, and messaging consent records will not be sold or disclosed to third parties for those third parties’ own marketing or promotional purposes.

Updone may disclose mobile information to communications vendors as reasonably necessary to send messages and administer the messaging program.

15. INFORMATION COLLECTED AUTOMATICALLY

When you access or use the Platform, Updone and its service providers may automatically collect information such as:

  • Internet Protocol address;
  • browser type;
  • device type;
  • operating system;
  • language;
  • device identifiers;
  • general geographic location;
  • referring page or website;
  • pages visited;
  • links or buttons selected;
  • date and time of access;
  • session duration;
  • Platform interactions;
  • conversion information;
  • advertising or analytics identifiers;
  • diagnostic and error information; and
  • other technical or usage information.

This information may be collected through cookies, pixels, tags, APIs, software development kits, log files, and similar technologies.

16. COOKIES, GOOGLE TAG MANAGER, ANALYTICS, AND ADVERTISING TECHNOLOGIES

Updone uses cookies and similar technologies for purposes that may include:

  • account authentication;
  • security and fraud prevention;
  • remembering preferences;
  • maintaining sessions;
  • measuring Platform usage;
  • diagnosing errors;
  • analyzing Platform performance;
  • measuring advertising and conversions;
  • understanding marketing effectiveness; and
  • improving the Platform.

Updone uses Google Tag Manager and may use Google and other third-party analytics, advertising, or measurement technologies through or alongside it.

These technologies may collect or receive information such as:

  • IP address;
  • browser and device information;
  • cookie or advertising identifiers;
  • pages viewed;
  • links or buttons selected;
  • referral information;
  • conversion activity; and
  • information regarding interactions with the Platform or advertisements.

Third-party analytics or advertising providers may use information collected through their technologies according to their own privacy policies.

Depending on the technology and applicable law, certain third parties may collect information regarding your activity on Updone and other websites or services over time.

17. YOUR PRIVACY CHOICES FOR COOKIES AND ADVERTISING

You may be able to control cookies through your browser settings. Blocking certain cookies may affect Platform functionality.

Where Updone provides a Your Privacy Choices or similar control, you may use it to manage non-essential analytics or advertising technologies.

Updone does not sell personal information to data brokers or other third parties in exchange for monetary payment.

However, certain disclosures involving online advertising, analytics, or measurement providers may constitute a “sale,” “sharing,” or processing for “targeted advertising” under broadly defined state privacy laws even when no money is exchanged for the personal information.

Where applicable law provides an opt-out right, Updone will provide a method to exercise that right.

18. DO NOT TRACK AND GLOBAL PRIVACY CONTROL

Some browsers offer a “Do Not Track” or “DNT” setting. Because there is no universally accepted technical standard for DNT signals, Updone does not currently respond to general browser DNT signals.

DNT is different from legally recognized opt-out preference signals such as Global Privacy Control (“GPC”).

Where applicable law requires Updone to recognize a valid opt-out preference signal, Updone will process a recognized GPC or comparable signal as required by law.

Any GPC preference ordinarily applies to the browser or device through which the signal is sent unless applicable technology and law permit it to be associated with an authenticated account.

19. LOCATION INFORMATION

Updone may collect:

  • service locations;
  • Talent service areas;
  • city or ZIP-code information;
  • general location inferred from an IP address; and
  • other location information voluntarily provided through the Platform.

If Updone offers functionality requiring precise device location, such information will be collected subject to applicable permissions and legal requirements.

You may control device-level location permissions through your browser or device settings.

20. REVIEWS, RATINGS, AND USER CONTENT

Updone may collect reviews, ratings, profile photographs, portfolio materials, photographs, files, messages, and other content submitted through the Platform.

Reviews and ratings may be displayed to Clients or Talent and may be displayed publicly where appropriate.

Updone may use User Content consistent with the Terms of Use to operate, secure, improve, and promote the Platform.

Clients and Talent should not submit content unless they have the right to provide it.

21. HOW UPDONE USES PERSONAL INFORMATION

Updone may use personal information to:

  • operate and maintain the Platform;
  • establish, authenticate, and secure accounts;
  • connect Clients and Talent;
  • publish and administer Service Requests;
  • display Talent profiles;
  • facilitate offers and Bookings;
  • facilitate Client–Talent communications;
  • administer Service Agreements;
  • process Client payments;
  • administer Talent payouts;
  • facilitate tips, refunds, and adjustments;
  • investigate chargebacks and payment disputes;
  • verify identity and credentials;
  • conduct legally permitted screening;
  • prevent fraud, abuse, circumvention, and unauthorized activity;
  • maintain safety and security;
  • enforce Platform policies and account restrictions;
  • investigate complaints or misconduct;
  • provide customer support;
  • improve and develop the Platform;
  • measure Platform and marketing performance;
  • personalize Platform functionality;
  • send transactional communications;
  • send marketing communications where legally permitted;
  • maintain records;
  • comply with tax, regulatory, court, and other legal requirements;
  • protect legal rights; and
  • establish, exercise, or defend legal claims.

Updone may also create aggregated or de-identified information that cannot reasonably identify a particular person and may use that information for lawful business purposes.

As described above, Updone shares information between Clients and Talent where reasonably necessary to evaluate, book, coordinate, perform, review, or resolve issues concerning Services.

Payment and Financial Service Providers

Updone may disclose information to payment processors, banks, payment networks, fraud-prevention services, and related financial providers.

Verification and Screening Providers

Updone may disclose information to identity, license, credential, certification, insurance, or legally permitted background-verification providers.

Technology and Business Service Providers

Updone may use providers that support:

  • cloud hosting;
  • website and application operation;
  • databases;
  • account authentication;
  • cybersecurity;
  • email;
  • SMS or WhatsApp communications;
  • customer support;
  • analytics;
  • advertising;
  • fraud prevention;
  • accounting;
  • tax reporting;
  • legal and compliance services; and
  • other Platform operations.

Analytics and Advertising Providers

Updone may disclose online identifiers, device information, Platform activity, conversion information, or similar information to analytics and advertising providers for analytics, measurement, marketing, or advertising purposes.

Professional Advisers

Information may be provided to attorneys, accountants, auditors, insurers, consultants, and similar professional advisers where reasonably necessary.

Legal, Regulatory, and Safety Purposes

Updone may disclose information where reasonably necessary to:

  • comply with applicable law;
  • respond to subpoenas, warrants, court orders, or other lawful process;
  • respond to authorized government requests;
  • investigate fraud, abuse, or illegal activity;
  • protect the safety of Clients, Talent, Updone, or others;
  • enforce contracts, account restrictions, and Platform policies; or
  • establish, exercise, or defend legal claims.

Business Transactions

Personal information may be disclosed in connection with a proposed or completed merger, acquisition, financing, investment, reorganization, asset sale, bankruptcy, or similar transaction.

At Your Direction or With Consent

Updone may disclose information where you direct us to do so or provide legally valid consent.

23. SALE, SHARING, AND TARGETED ADVERTISING

Updone does not sell personal information to third parties for monetary consideration.

As described in this Privacy Policy, Updone may use analytics, advertising, and measurement technologies that disclose online identifiers, device information, and internet or Platform activity to third parties.

Depending on applicable state law, some of those activities may be classified as:

  • selling personal information;
  • sharing personal information for cross-context behavioral advertising; or
  • processing personal information for targeted advertising.

Where applicable law gives you the right to opt out, Updone will provide a mechanism to exercise the applicable right.

24. SENSITIVE PERSONAL INFORMATION

Updone may process information considered sensitive under applicable privacy laws where reasonably necessary to operate the Platform.

This may include:

  • government-issued identification;
  • Social Security or taxpayer identification information where legally required;
  • financial or payout-account information;
  • account login credentials;
  • precise geolocation if a feature requires it and you authorize it; and
  • legally permitted background-verification information.

Updone processes sensitive personal information for purposes such as identity verification, payment administration, tax compliance, security, fraud prevention, safety, credential verification, and legal compliance.

Updone does not use sensitive personal information for the purpose of inferring unrelated characteristics about Clients or Talent for behavioral advertising.

25. ACCOUNT SUSPENSION, DEACTIVATION, TERMINATION, AND RETENTION

Updone may restrict, suspend, deactivate, or terminate Client or Talent accounts as provided in the Terms of Use.

Account restriction, suspension, deactivation, or termination does not automatically result in immediate deletion of the personal information associated with the account.

Updone may retain information associated with a restricted, suspended, deactivated, or terminated account for as long as reasonably necessary to:

  • complete, administer, document, or reconcile payments and payouts;
  • maintain transaction, accounting, or tax records;
  • prevent fraud, abuse, circumvention, harassment, or repeat account creation;
  • investigate complaints, disputes, chargebacks, or safety matters;
  • enforce the Terms of Use or other Platform policies;
  • protect Platform security and marketplace integrity;
  • respond to legal process or regulatory obligations;
  • comply with record-retention requirements; or
  • establish, exercise, or defend legal claims.

Updone may also retain identifiers or other limited information reasonably necessary to prevent a person whose account has been restricted or terminated from evading an account restriction by creating another account, to the extent permitted by applicable law.

26. DATA RETENTION

Updone retains personal information for no longer than reasonably necessary for the purposes for which it was collected or another lawful compatible purpose.

Relevant factors may include:

  • whether an account is active;
  • the type and sensitivity of the information;
  • the existence of completed or pending Service Requests, Bookings, or Service Agreements;
  • payment and payout records;
  • tax and accounting requirements;
  • fraud and abuse-prevention needs;
  • safety or security incidents;
  • chargebacks and payment disputes;
  • complaints and Platform-enforcement history;
  • litigation or anticipated claims;
  • applicable statutes of limitation;
  • regulatory requirements; and
  • legitimate business-record requirements.

Deleting or closing an account does not necessarily result in immediate deletion of all information.

When information is no longer reasonably necessary, Updone may delete, destroy, aggregate, or de-identify it consistent with applicable law.

27. SECURITY

Updone uses reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, acquisition, disclosure, alteration, destruction, or misuse.

Depending on the information and systems involved, safeguards may include:

  • access controls;
  • authentication controls;
  • security monitoring;
  • vendor-management procedures;
  • system and network protections;
  • secure configurations;
  • incident-response procedures;
  • backup procedures;
  • employee or contractor access restrictions; and
  • secure disposal practices.

No website, database, communications platform, payment network, or electronic storage system can be guaranteed to be completely secure. Updone therefore cannot guarantee absolute security.

Clients and Talent should use strong account credentials and promptly notify Updone of suspected unauthorized account access.

28. PRIVACY RIGHTS AND REQUESTS

Depending on your residence and applicable law, you may have rights concerning personal information maintained by Updone.

These rights may include:

  • accessing personal information;
  • obtaining information about categories of information collected;
  • obtaining information about sources and purposes;
  • obtaining information about categories of recipients;
  • requesting correction;
  • requesting deletion;
  • requesting a portable copy;
  • opting out of sale or sharing;
  • opting out of targeted advertising;
  • limiting certain uses of sensitive information;
  • withdrawing consent where applicable;
  • appealing certain privacy-request decisions where state law provides an appeal right; and
  • receiving non-discriminatory treatment for exercising privacy rights.

Legal exceptions may apply. Updone may need to verify your identity before processing certain requests.

29. ACCOUNT ACCESS, CORRECTION, AND DELETION

Clients and Talent are responsible for maintaining accurate account information.

Where Platform functionality allows, information may be reviewed or updated directly through account settings.

You may also contact Updone to request correction or deletion.

A deletion request may result in loss of access to profile information, Booking history, messages, transaction functionality, or other Platform features.

Updone may retain information after a deletion request where permitted or required by law, including information needed for transactions, tax records, chargebacks, fraud prevention, abuse prevention, account-enforcement history, safety matters, disputes, security, or legal claims.

30. CALIFORNIA ONLINE PRIVACY DISCLOSURES

California’s Online Privacy Protection Act and other California laws require certain online privacy disclosures.

Updone collects the categories of personal information described in this Privacy Policy and may disclose that information to the categories of recipients described above.

Clients and Talent may request review, correction, or deletion of applicable account information as described in this Privacy Policy.

If Updone materially changes this Privacy Policy, Updone may notify affected Clients and Talent through email, account notice, a conspicuous Platform notice, or another reasonable method.

The effective date and last-updated date appear at the beginning of this Privacy Policy.

As described above, Updone does not currently respond to general browser Do Not Track signals.

Analytics and advertising providers may collect certain information concerning Platform activity and, depending on the provider and technology, may collect information regarding online activity over time and across websites or services.

31. CALIFORNIA CONSUMER PRIVACY RIGHTS

To the extent the California Consumer Privacy Act or another California privacy law applies to Updone and to your personal information, California residents may have rights including:

  • the right to know;
  • the right to access specific pieces of personal information;
  • the right to delete;
  • the right to correct;
  • the right to data portability;
  • the right to opt out of the sale or sharing of personal information;
  • the right to limit certain uses and disclosures of sensitive personal information where applicable; and
  • the right not to receive unlawful discriminatory treatment for exercising privacy rights.

Updone does not sell personal information for monetary consideration.

Where advertising or analytics activities constitute “sale” or “sharing” under California law, eligible California residents may exercise applicable opt-out rights through the privacy-choice mechanism made available by Updone or through a legally recognized opt-out preference signal such as Global Privacy Control where applicable.

32. CATEGORIES OF INFORMATION FOR CALIFORNIA DISCLOSURES

Depending on your interaction with the Platform, Updone may have collected the following categories during the preceding twelve months:

  • commercial and transaction information;
  • internet and electronic-network activity;
  • general or service-related geolocation information;
  • professional or business information;
  • visual or electronic information;
  • Platform communications;
  • inferences used for security, fraud detection, marketplace functionality, recommendations, or Platform improvement; and
  • sensitive personal information where reasonably necessary.

Sources may include Clients, Talent, Platform activity, payment providers, identity or verification providers, background or credential-verification providers, analytics and advertising providers, communications providers, fraud-prevention providers, public records, and other service providers or lawful sources.

The business and commercial purposes and categories of third-party recipients are described elsewhere in this Privacy Policy.

33. CALIFORNIA DIRECT-MARKETING DISCLOSURE

California residents may have rights under California’s “Shine the Light” law regarding certain disclosures for third parties’ own direct-marketing purposes.

Updone does not disclose personal information to unaffiliated third parties for those third parties’ own direct-marketing purposes except where permitted by applicable law or pursuant to legally valid consent.

34. OTHER U.S. STATE PRIVACY RIGHTS

Residents of certain U.S. states may have additional privacy rights.

Where applicable law grants such rights, Updone will process valid requests in accordance with that law.

Depending on the jurisdiction, rights may include access, correction, deletion, portability, opt-out of targeted advertising, opt-out of sale, opt-out of certain profiling, and appeal of certain privacy decisions.

Nothing in this Privacy Policy limits a privacy right that applicable law does not permit Updone to limit.

35. MARKETING EMAIL

Clients and Talent may opt out of promotional email by using an unsubscribe mechanism contained in the applicable communication.

An opt-out from marketing does not prevent Updone from sending non-promotional communications reasonably necessary for account administration, security, Service Requests, Bookings, payments, payouts, disputes, customer support, legal notices, or changes to agreements or policies.

36. CHILDREN

The Platform is intended for individuals who are at least eighteen (18) years old.

Updone does not knowingly permit individuals under eighteen to create Client or Talent accounts.

If Updone learns that an underage individual improperly created an account or provided personal information, Updone may restrict the account and delete information as appropriate, subject to legal retention obligations.

37. THIRD-PARTY SITES AND SERVICES

The Platform may link to or interact with third-party services.

Those services may independently collect or process personal information under their own terms and privacy policies.

Updone does not control the independent privacy practices of payment providers, Google, social networks, external websites, verification providers, financial institutions, analytics or advertising providers, or other independent third parties.

Clients and Talent should review applicable third-party privacy policies before providing information directly to those services.

38. BUSINESS TRANSFERS

If Updone undergoes or considers a merger, acquisition, sale, financing, reorganization, bankruptcy, sale of assets, or similar corporate transaction, personal information may be transferred or disclosed as part of that transaction, subject to applicable legal requirements.

39. DATA PROCESSING IN THE UNITED STATES

Updone operates in the United States.

Personal information may be stored or processed in the United States or other locations in which Updone’s service providers operate.

If you access the Platform from outside the United States, your information may be transferred to a jurisdiction with privacy laws different from those of your country, subject to applicable law.

40. CHANGES TO THIS PRIVACY POLICY

Updone may update this Privacy Policy from time to time.

The “Last Updated” date at the beginning of this Privacy Policy identifies the most recent revision.
